Asaas has acquired Helena CRM for R$150 million, its largest acquisition to date, strengthening its AI-native ecosystem and expanding automation capabilities for SMEs across sales, payments, and customer management.

Asaas has announced the acquisition of Helena CRM for US$29.6 million, marking the company's largest M&A transaction to date. The deal reinforces Asaas’ strategy of building a comprehensive AI-native ecosystem for small and medium-sized businesses (SMEs), enabling companies to automate processes from lead generation to payment collection through autonomous agents and conversational technologies.

Largest Acquisition in Asaas’ History

The acquisition comes during a period of accelerated growth for Asaas. The company reported a 234% increase in net profit during 2025 and is working toward its goal of reaching US$181.8 million in revenue by 2026.

Helena CRM specializes in conversational CRM solutions designed to operate directly within WhatsApp. Its platform supports the entire sales journey, from lead generation and customer engagement to post-sales interactions. The solution combines customer service tools, chatbots, automation features, sales pipeline management, and integrations with Meta channels such as Instagram and Facebook.

In addition, Helena CRM has developed a distribution network of more than 500 partners and holds the status of Meta Certified Business Solution Provider, a certification granted following technical qualification and audit processes that allows providers to deliver official and scalable solutions within Meta’s ecosystem.

Contezini added that customers will be able to automate the entire sales process, from lead generation to invoicing, using advanced conversational models already available through Helena’s platform.

WhatsApp Continues to Gain Importance for SMEs

The acquisition also reflects the growing role of WhatsApp as a business channel in Brazil. According to data from the WhatsApp Consumer Behavior report, 89% of consumers use the platform to communicate with businesses, while 67% consider personalized service the main reason for making purchases through the application.

These figures highlight WhatsApp’s evolution beyond customer support into a channel that supports both conversion and customer retention strategies.

Existing Synergies Between Asaas and Helena CRM

The two companies already share a significant customer base. According to Helena CRM CEO Guilherme Rocha, 35% of Helena’s partners are already active Asaas customers.

The alignment between the companies is expected to support the expansion of integrated solutions for SMEs seeking to streamline sales and financial operations.

Product Roadmap Focuses on AI and Automation

Helena CRM is preparing to launch new features including Voice Service and IA Analytics. The upcoming intelligence layer may include metadata extraction, action recommendations, lead scoring, automatic summaries, and recurring business insights.

Asaas plans to accelerate the development of these capabilities by connecting customer conversation data with payment processing, collections, and reconciliation workflows. The objective is to improve conversion rates while increasing operational efficiency for SMEs.

Helena CRM Will Continue Operating Independently

Following the acquisition, Helena CRM will maintain its operational independence as an Asaas-controlled company through the end of 2028. The business will preserve its existing structure and continue executing growth initiatives alongside its partner network.

A full integration is planned for the end of 2029, when Helena’s operations and teams are expected to be incorporated into Asaas, creating a unified business structure.

Asaas Continues Expanding Through Acquisitions and Partnerships

The Helena CRM transaction represents the fifth acquisition in Asaas’ history and its second in 2026. Earlier this year, the company entered the insurance market through the acquisition of Mutuus.

Previous acquisitions include Base ERP, CodeMoney, and Nexinvoice, all aimed at expanding Asaas’ portfolio and capabilities.

Alongside its acquisition strategy, Asaas is also increasing its market reach through distribution partnerships. A recent agreement with Vivo will make the platform available to up to 1.8 million SMEs within the telecommunications company's business customer segment, creating new opportunities for customer acquisition and growth.
